Creating Nonstandard Clauses


This demonstration shows how you create nonstandard clauses in a contract either by editing a standard clause or by creating a nonstandard clause from scratch.


Steps:

  1. Begin by navigating to the Contract Terms tab in the contract.

  2. Suppose you are selling software services and you agree to reduce the potential increase in support fees from six percent to four percent a year.

     

    You must first locate the technical support clause you need to edit.

  3. Expand the outline on the Clauses tab to view the clause titles.

     

    Click the View menu bar.

  4. Click the Expand All list item.

  5. This looks like the clause you need to edit.

     

    Click the Technical Support list item.

  6. Here is the fee the customer wants changed.

  7. Click the Edit Clause button.

  8. The application displays the clause in the Edit Clause page.

  9. Scroll down to find the mention of the six percent increase.

     

    Click the scrollbar.

  10. Now replace the 6 with a 4.

     

    Double-click on the number 6 to select it.

  13. The application warns you that you are about to make the clause nonstandard.

     

    Click the Yes button.

  14. Notice that the icon of the clause changed to indicate this is now a nonstandard clause.

  15. The customer also asked you to insert a clause that guarantees the software you are selling is free of viruses.

  16. You could use the Add Clause button and search for such a clause in the Contract Terms Library, but you already know that no such clause exists.

  17. You must create a nonstandard clause from scratch for this contract.

  18. Select the clause in the outline where you want to insert the new nonstandard clause.

     

    Click the Ownership and Restrictions list item.

    Click the Actions menu bar.

  21. The application displays the Create Nonstandard Clause window.

  22. Enter the clause title.

     

    Click in the Title field.

  23. Enter the desired information into the Title field. Enter

     a valid value
     e.g.
     "Viruses and Malware"
    .

  24. Classify the clause by selecting a clause type.

     

    Click the Type list.

  26. You could import the clause text from a Word 2007 document by using the Import button.

  27. But for most clauses you can just enter the clause text using the built-in Rich-Text Editor.

  28. In the Text field, enter the clause text.

     

    Enter the desired information into the field. Enter

     a valid value
     e.g.
     "Vision Operations guarantees the software is free of  viruses and other malware."

  30. Refresh the preview so it reflects your latest edits.

     

    Click the Refresh button.
