Running Contract Expert


This demonstration shows how to run Contract Expert on a sales contract.


Steps:

  1. Begin by navigating to the Contract Terms tab in the contract.

  2. If the Clauses tab includes the Contract Expert Last Run indicator, you must run Contract Expert on the contract to ensure no additional clauses are required.

  3. If you created the contract using the Contract Wizard, then Contract Expert runs automatically for you. You may want to run it again to make sure that the contract terms are up to date.

  4. The Not Run value indicates that this particular contract was not created using the Contract Wizard and that you have not yet run Contract Expert.

  5. Click the Run Contract Expert button.

  6. The application displays the Run Contract Expert window.

  7. Contract Expert first asks you to enter any missing variable values.

  9. Enter the state of jurisdiction.

     

    Enter the desired information into the Value field. Enter

     a valid value
     e.g.
     "California"

  10. Now enter the county of jurisdiction.

     

    Click in the Value field.

  12. You can view the clauses that use the variable.

  14. There is only one in this contract: the jurisdiction clause.

  19. Contract Expert may ask you to answer questions to determine if additional clauses are required.

  20. The first question asks you if an audit is required.

     

    It is, so answer Yes.

  23. Next, Contract Expert asks you if you negotiated a penalty in case of noncompliance.

     

    You haven't, so answer No.

  27. Contract Expert displays any recommended clauses.

  28. In this case there is only one: an audit clause.

  29. Contract Expert inserts the clause into the contract if the Insert Into Document check box is selected.

     

    Provided you have the privileges, you can reject the recommendation by deselecting the check box.

    Click the Finish button.

  32. Notice that the application inserted a new Commitments section along with the clause.

    Click the Refresh button.
